A 17g5 data room is a secure, password protected website (or "virtual data room") optimized to streamline compliance with SEC Rule 17g-5. The rule requires "Arrangers" of a US-rated securitization to maintain a document repository of all information provided to a Nationally Recognized Statistical Rating Organization (NRSRO) in order to "determine the initial rating or undertake surveillance" of an applicable transaction. The general industry interpretation is that all emails (including attachments), files and phone calls that transmit information pertaining to a specific transaction must be uploaded to the data room.
